Terms of Service

These Terms of Service ("Terms") apply whenever you access or use topdeals.lol (the "Service"), including the paid public deal leaderboard, individual deal pages, checkout, and any related features. By using the Service, submitting a listing, or making a payment, you agree to these Terms and to our Privacy Policy.

If you do not agree to these Terms, do not use the Service or pay for a ranking.

Operator and contact

The Service is operated by Tiny lab startups LLC, a company based in Massachusetts ("we", "us", "our"). The Service is located at https://topdeals.lol.

These Terms work together with the public Rules. If the Rules and these Terms ever conflict, these Terms control.

What the Service is

topdeals.lol is a paid, public leaderboard for startup deals. You may pay to add a startup website and the deal it is promoting, and to hold a position based on the amount you pay, following the Rules. Listings are paid advertisements for deals; they are not editorial reviews, certifications, endorsements, or independent rankings.

Paying for a listing gives you a chance to appear on the board at the rank your bid can secure at the moment payment is fulfilled. Placing a bid does not guarantee any specific rank, including #1, and bids are not refunded if another user outbids you. Your payment does not purchase traffic, clicks, customers, revenue, an exclusive spot, a fixed stay at any rank, search-engine placement, or any particular outcome. Another user can always pay more. We may also add, remove, or change features, including ranking methods and minimum bid rules.

Eligibility

• You must be at least 18 years old and able to enter a binding contract.
• If you use the Service on behalf of a company, you represent that you have authority to bind that company, and references to "you" include that company.
• You may not use the Service if you are barred from receiving services under the laws of the United States, the Commonwealth of Massachusetts, or any other applicable jurisdiction, including trade sanctions.

Payments, Stripe, and taxes

Checkout is handled by Stripe. We do not collect or store full payment-card numbers. Stripe's own terms and privacy notice apply to the payment transaction itself. All prices are in US dollars. Applicable taxes may be added at checkout.

Bid amounts, minimums, the increment required to take #1, raise-only-the-difference charges, and other pricing details are explained in the Rules and shown before you pay. Completing checkout is an offer to buy ranking placement on those terms. Your rank is assigned once payment is confirmed and the listing is written to the board, at whatever position that bid can support.

No refunds

All payments are final and not refundable, even if the listing does not reach or keep the #1 rank or any other rank. Ranking placement is a digital service that begins as soon as payment is confirmed: the listing is created or the bid is increased, and the paid amount is counted on the public board. Being outranked later, getting fewer clicks than you expected, a change you dislike, downtime, or a later removal for breach of these Terms does not create a refund.

By completing checkout you ask us to start this digital service right away and confirm that you give up any statutory right of withdrawal or cooling-off period, to the extent the law allows. Where a consumer right cannot be waived, we honor it. Chargebacks, payment disputes, or reversed payments without a legally required basis are a breach of these Terms; we may remove the listing and refuse future use of the Service.

Listings must have valid company details

You may list only a startup website that you own or are authorized to promote. The listing URL must be a direct link to the website. Subpages, subdomains, affiliate links, and link shorteners are not allowed. The live site must show valid, current company or operator details that make it clear who is legally responsible for the project: legal name and, where the law that applies to that site requires it, a postal address, a working contact method, and any other required imprint, business-register, or tax information.

Details that are missing, fake, incomplete, impersonating another person or company, or that we cannot reasonably verify are grounds for removal. We may take down a listing at any time if those details are not in order or if you are not authorized to promote the deal, without refund.

Your warranties

By submitting a URL, a deal, or a payment, you represent and warrant that:

• You have the right to list the destination and to send visitors to it.
• The listing and the destination comply with all applicable laws, including advertising, consumer, privacy, intellectual-property, and regulated-industry rules.
• You are not impersonating another person, brand, or company, and you are not claiming a rank for a competitor's site without authorization.
• The destination is not malware, phishing, a scam, or a site whose main purpose is to deceive visitors.
• The information you submit is accurate and you will keep it accurate.

Prohibited listings and use

In addition to the Rules, you may not list or use the Service for:

• Sexual, pornographic, adult, gambling, or illegal content or platforms; chat, invite, messaging-group, or affiliate links (Telegram, WhatsApp, Discord, Messenger, Signal, and similar); or link shorteners used to hide the real destination.
• Content that is illegal, fraudulent, defamatory, harassing, hateful, violent, or that exploits children.
• Counterfeit goods, unauthorized streaming, or other infringement of copyright, trademark, or other rights.
• Offers that require licenses you do not have (including certain financial, medical, gambling, or weapons-related offers).
• Interfering with the Service: scraping beyond ordinary browsing, manipulating click counts, bypassing rate limits, automated bidding without our written permission, or reverse engineering except as allowed by mandatory law.
• Other listings that we reasonably determine create legal, fraud, safety, security, or third-party-rights risks.

Deals must be active

Only active, usable deals may appear on the board. We may hide or remove a listing when the underlying deal has sold out, expired, or otherwise become unusable. The owner may reactivate the listing once the deal is active again. Hiding or removing a listing because the deal is inactive, sold out, expired, or otherwise unusable does not entitle the lister to a refund.

Our right to remove listings

We may refuse, delay, edit, recategorize, hide, or permanently remove any listing, bid, or related page, with or without notice, including where we believe these Terms, the Rules, or the law may have been broken; where a rights holder or a platform complains; where company details are missing or invalid; or where we think the listing creates legal, security, or reputational risk. Removal does not entitle you to a refund.

Fair use and third-party content

To run the board we fetch and display publicly available information about listed destinations, such as names, titles, descriptions, logos, favicons, Open Graph images, and other public metadata. We use that material only to identify the listed startup deal on topdeals.lol, to show visitors where a paid ranking leads, and to operate, moderate, and improve the Service.

Where United States law applies, that display is intended as nominative fair use of trademarks and as fair use of copyrighted material: we use only what is needed to identify the destination, we do not use it as our own brand, and we do not suggest sponsorship or endorsement by the rights holder unless the lister is that rights holder. Where other applicable law applies, we use third-party names and signs only to identify the deals being listed, which does not mean we are affiliated with or endorsed by the rights holder.

topdeals.lol, our wordmark, and the look of the Service are our property. You may not copy the Service, scrape the board to build a competing ranking product, or use our brand in a way that suggests we endorse you. Stripe and other third-party names remain their owners' property.

License you grant us

You grant us a worldwide, non-exclusive, royalty-free license to host, cache, reproduce, adapt (for sizing, formatting, and ranking display), and publicly display the listing and the public metadata we fetch, for as long as needed to operate, promote, and keep an archive of the Service. You also grant visitors a right to see that listing on the Service. If you want a listing taken down, email contact@topdeals.lol. Takedown does not undo a completed payment.

Complaints and rights notices

If you believe a listing infringes your copyright, trademark, publicity, or other rights, or that a listed site is unlawful, email contact@topdeals.lol with: (1) your name and contact details; (2) the listing URL or product page on topdeals.lol; (3) the destination URL; (4) a description of the problem; and (5) a statement that the notice is accurate and that you are the rights holder or authorized to act. We may remove or restrict the listing while we review the notice. We may share the notice with the lister. Repeat or abusive notices may be ignored.

No endorsement, no earnings claims

Appearance on the board is not our opinion of a deal. We do not verify that listed companies, claims, prices, results, or deals are true, active, available, or still offered at the stated terms. We do not guarantee the quality, value, availability, or accuracy of any deal, product, or service promoted on the board. Visitors deal directly with the listed site or lister, and any purchase or transaction is solely between them. Social-proof posts and click or visitor counts describe what some people reported or what our systems recorded; they are not a promise that you will get the same outcome. Your results depend on your bid, your destination, timing, and factors we do not control.

Links from the Service to listed sites leave topdeals.lol. Those destinations have their own terms and practices. We are not responsible for them. The Service may also contain our own affiliate links, including to DataFast.

Availability and changes

We provide the Service as-is. It may be unavailable, slow, or incorrect. We may change ranking rules, minimums, or these Terms. If a change is material, we will update the date at the top of this page. Continued use after a change means you accept the new Terms. For a payment already completed, the Terms in effect at checkout still apply to that payment, except where a change is required by law or needed to address a security or legal risk.

Force majeure

We are not responsible for any failure or delay in performing our obligations where that failure or delay results from events beyond our reasonable control, including strikes, lockouts, natural disasters, pandemics, power outages, internet or telecommunications failures, government action, or the failure of third-party services we use to operate the Service.

Disclaimers

To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, quiet enjoyment, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or free of errors, or that listings, names, images, ranks, or click counts are accurate or complete.

Limitation of liability

We do not limit liability that applicable law says we cannot limit, including liability for intent, gross negligence, injury to life, body, or health, or liability under mandatory product-liability rules. Subject to that:

• We are not liable for lost profits, lost data, lost goodwill, substitute services, or other indirect, incidental, special, or consequential damages.
• For slight negligence, we are liable only for a foreseeable breach of duties that are essential to these Terms, and only for typical, foreseeable damage.
• Our total liability for a claim relating to a payment is limited to the amount you paid us for the listing that the claim concerns in the three months before the claim.

Indemnity

You will defend, indemnify, and hold harmless Tiny lab startups LLC and its officers, employees, and agents from claims, damages, losses, and reasonable legal fees arising out of your listing, your destination site, your payment or chargeback, your breach of these Terms, or your infringement of someone else's rights. We may take over the defense of a claim; you will cooperate.

Dispute resolution and arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms, including their formation, interpretation, breach, termination, or validity, shall be finally resolved through binding arbitration administered in Massachusetts, United States, in accordance with the rules of a mutually agreed arbitration provider. The arbitrator may award the same relief as a court. Judgment on the award may be entered in any court having jurisdiction. Nothing in this section prevents either party from seeking injunctive or other equitable relief in court for intellectual-property or confidentiality matters, or from pursuing claims in small-claims court. The Federal Arbitration Act and Massachusetts law apply to this section, subject to any rights that cannot legally be excluded.

Governing law

These Terms are governed by the laws of the Commonwealth of Massachusetts, United States, excluding conflict-of-law rules. If you are a consumer with a mandatory local law that cannot be displaced, that law still protects you. If you are not a consumer, the courts in Massachusetts, United States have exclusive jurisdiction, to the extent permitted.

General

• If a part of these Terms is unenforceable, the rest remains in effect, and the invalid part is replaced by the valid term that comes closest to the original intent.
• Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a transfer of the Service.
• These Terms, the Rules, the Privacy Policy, and the checkout details you confirm form the entire agreement for the Service.
• Payments, hosting, identity lookup, and analytics involve third parties, including Stripe and DataFast. Their outages or decisions are outside our control.

Rights that cannot be excluded

Nothing in these Terms or in our Privacy Policy limits any rights that you have under applicable law that cannot legally be excluded.
